STANLEY P. ROTH    

     Founder, controlling stockholder and Chairman of the Board of North American Capital Corp., Mr. Roth is also the principal stockholder in several successful manufacturing companies. Over the years Mr. Roth has personally been involved in over 200 transactions with values exceeding $1 billion, including Eurodollar, lease, public, industrial revenue bond and federal financings and restructures. 

     Mr. Roth’s prior experience includes seven years with Arthur Andersen & Co. and ten years as Vice President of Finance and Treasurer of Instrument Systems Corporation, now Griffon Corp. (a New York Stock Exchange company). In addition to being on the Board of Directors of North American Capital Corp., Mr. Roth is Chairman of Royal-Pioneer Industries, Inc., Director of GPC International, Inc., Director of Hollis Corporation, and  Director and Vice Chairman (non-executive) of Delta & Pine Land Company (a New York Stock Exchange company). He was also formerly a Director of Polaroid Holding Company, and Chairman of the Unsecured Creditors Committee of Primary PDC, Inc. (formerly Polaroid Corporation).

     Mr. Roth is a graduate of New York University with an MBA from the NYU Graduate School of Business, and is a CPA.

 

STEVEN W. ROTH

    President of  North American Capital Corp. Mr. Roth is a seasoned executive with extensive experience and a proven track record in hands-on crisis management and financial restructuring. He has initiated the crisis management business segment of North American Capital Corp.  Mr. Roth has also successfully originated, negotiated and completed international transactions in the Czech Republic and Germany on behalf of North American Capital's portfolio companies.  In addition, he is involved in the Mergers & Acquisitions activities of the firm.

     Mr. Roth also serves as Chairman and President of GPC International, Inc., its portfolio companies and divisions thereof, consisting of Chartpak, Inc., Clearprint Paper Company, Koh-I-Noor and Pelikan.  These companies service the fine arts, decorative arts, graphic arts, fine writing and stationery trade channels. Mr. Roth is also a Director of the Commercial Finance Association.

     Prior to joining North American Capital, Mr. Roth was associated with Coopers & Lybrand in New York. He holds a BBA from Hofstra University and is a CPA.

 

MITCHELL MARKS     

     Executive Vice President. Currently President of Royal-Pioneer Industries, Inc., a North American Capital portfolio company acquired in 1984. Mr. Marks has also served as president of two other portfolio companies.

     Prior to his association with North American Capital, Mr. Marks was Secretary and Treasurer of Instrument Systems Corporation for ten years. He began his career in 1962 at S.D. Leisdesdorf Corporation. 

     Mr. Marks is a graduate of Hunter College (City of New York University) and is a CPA.

 

DON W. FLEISCHAUER

     Executive Vice President & Chief Financial Officer of North American Capital Corp., Mr. Fleischauer has comprehensive experience in financial restructuring. In this capacity, he is responsible for overall client financial planning, operational reviews, due diligence and crisis management, as well as serving as a liaison to client lending institutions.

     Mr. Fleischauer also serves as Executive Vice President of Operations & Director of GPC International, Inc. and is the former President of Plan Hold Corp. (a leading manufacturer of office metal filing furniture and systems), both portfolio companies of North American Capital Corp. As President of Plan Hold Corp., he positioned the company to service multiple distribution channels and has successfully completed its divestiture in 2001. He joined the company in 1977 and assumed his current responsibilities in 1982.

     His prior experience includes senior positions with Ernst & Young and several Long Island-based companies. He holds a BBA in Accounting from the University of Dayton and is a CPA.


DAVID LINDER

    Executive Vice President. Mr. Linder has 25 years of experience in managing, directing and controlling various business entities. He was formerly President and Chief Financial officer for Western Synthetic Felt Co., a division of Griffon Corp., a New York Stock Exchange company. In addition, he previously served as West Coast Controller and Operations Manager for Griffon.  
    
     Mr. Linder is a graduate of New York University School of Business and has seven years of accounting and auditing experience.

KIPP GOSEWEHR

     Chairman of Mergers and Acquisitions Committee. Mr. Gosewehr was formerly Executive Vice President of North American Capital Corp. Prior to that, he was associated with Charterhouse Group International, Inc. for ten years as Senior Vice President and Director of Business Development, responsible for acquiring companies and arranging the associated financing. Mr. Gosewehr served on the Board of Directors of four Charterhouse portfolio companies. His experience includes maximizing the proceeds available from a broad array of assets including real estate, property and equipment, divisional sale and liquidation, and the private and public placement of additional new funding. 

     Prior to 1982 Mr. Gosewehr was a Vice President of the First National Bank of Maryland and Managing Director of the Corporate Finance Services Division. Prior to that he was associated with the Security National Bank and Chemical Bank of New York in senior lending positions since 1964. 

     He holds an undergraduate degree from Columbia University in Political Science and attended New York University Graduate School of Business.

 

WILBERT S. SCHOOMER

     Engineering. Mr. Schoomer has had more than 30 years of experience in the field of manufacturing, industrial engineering, manufacturing engineering and value engineering, as well as project management, standardization, methods, planning and systems engineering.

     Mr. Schoomer holds a BS degree in Mechanical Engineering from Washington University and an MS in Industrial and Management Engineering from Columbia University.

 

ALBERT J. STRUMAR

    Manufacturing. Mr. Strumar has more than 40 years of experience in a variety of senior manufacturing positions in aerospace, industrial and consumer businesses with General Electric, Honeywell and Black & Decker. Prior to joining North American Capital Corp., he was Vice President-Advanced Manufacturing Technology for Black & Decker.

     He holds a BS degree in chemistry from the Rhode Island School of Design and completed graduate studies in Industrial Management at Rensselaer Polytechnic Institute. In addition, he has written numerous articles on manufacturing and has presented a number of lectures at the Wharton School of the University of Pennsylvania.
